THEORETICAL AND PRACTICAL PROBLEMS OF VOLUNTARY REORGANIZATION OF SUBJECTS OF CORPORATE LAW

This article presents a comprehensive analysis of the theoretical and practical issues involved in the voluntary reorganization of corporate entities. The study covers the legal nature of reorganization forms (mergers, acquisitions, divisions, spinoffs, and transformations), the procedures for their implementation, and legislative gaps in this area. Guarantees for the reliable protection of the rights and legitimate interests of creditors, shareholders (participants), and investors during the reorganization process are also examined. The article concludes with scientific and practical proposals and recommendations for improving corporate legislation and eliminating practical inconsistencies.
